DISTRIBUTORSHIP MEMBERSHIP AGREEMENT

                                                        Introduction

This Distributorship Membership Agreement (“Agreement”) sets forth the terms and conditions governing your participation as a registered Distributor in Midas Global Resources Limited’s direct sales program (“Program”).

By registering as a Distributor, you agree to be bound by the terms of this Agreement.

For the purposes of this Agreement:

“Company,” “We,” “Us,” or “Our” refers to Midas Global Resources Limited.

“Distributor” refers to an individual duly registered under the Distributorship membership category.

“Program” refers to Midas Global Resources Limited’s direct sales program.

“Products” refers to all digital and physical products and services offered through the Program.

Membership Requirements

To qualify as a Distributor, you must meet the following conditions:

1. Age Requirement
You must be at least 18 years of age.


2. Registration
You must complete the registration process and provide accurate, current, and complete information.


3. Registration Fee
You must pay the applicable registration fee, which ranges from ?10,000 to ?1,000,000, depending on the selected membership package.

 

Approval as a Distributor is subject to the Company’s review and discretion.

Membership Benefits

As a registered Distributor, you may be entitled to the following benefits:

1. Product Allocation
Products equivalent in value to your registration fee.


2. Promotional Incentives
One (1) month of complimentary data and call card benefits, subject to promotional terms.


3. Access to Interest-Free Loans
Eligibility for access to interest-free loan opportunities, subject to Company policies and qualification requirements.


4. Earning Opportunity
The ability to earn commissions across up to fifteen (15) generations within the compensation structure.

 

All benefits are subject to compliance with this Agreement and the Program’s policies.

Earning Structure

Distributors may earn income through the following channels:

1. Direct Referral Bonus
Twenty-five percent (25%) of a directly referred member’s registration fee. This also applies to direct upgrade referral bonuses.


2. Indirect Referral Bonus
Ten percent (10%) distributed across generations two (2) through fifteen (15). This also applies to indirect upgrade referral bonuses.


3. Retail Bonus
Up to thirty percent (30%) profit margin on product sales, subject to pricing policies.


4. Repurchase Bonus
Twenty-five percent (25%) of the product’s Business Volume (BV) on qualified repurchases.


5. Indirect Purchase Bonus
Ten percent (10%) distributed across generations two (2) through ten (10) on qualifying purchases.

 

All commissions and bonuses are subject to verification, compliance, and the Company’s compensation guidelines.

Obligations of the Distributor

As a Distributor, you agree to:

1. Legal Compliance
Comply with all applicable local, national, and international laws and regulations.


2. Adherence to Program Policies
Follow all Program rules, compensation guidelines, marketing standards, and operational procedures.


3. Confidentiality
Maintain strict confidentiality of proprietary, financial, and operational information belonging to the Company.

 

Failure to comply with these obligations may result in disciplinary action or termination.

Termination

The Company reserves the right to suspend or terminate your Distributorship at its discretion, including but not limited to the following circumstances:

1. Violation of Program rules or policies


2. Breach of confidentiality


3. Misrepresentation, misconduct, or unethical practices


4. Any other reasonable grounds necessary to protect the Company’s interests

 

Termination may result in forfeiture of commissions, bonuses, or other associated benefits, subject to applicable policies.

Dispute Resolution

STOCKIST AGREEMENT

   Introduction

This Stockist Agreement (“Agreement”) sets forth the terms and conditions governing your participation as a registered Stockist in Midas Global Resources Limited’s direct sales program (“Program”).

By registering as a Stockist, you agree to be bound by this Agreement.

Definitions

For the purposes of this Agreement:

“Company,” “We,” “Us,” or “Our” refers to Midas Global Resources Limited.

“Stockist” refers to an individual or legally registered business approved under the Stockist membership category.

“Program” refers to Midas Global Resources Limited’s direct sales program.

“Products” refers to all digital and physical products and services offered through the Program.

“Website” refers to www.midasglobalresources.com.

“Local Government” refers to a geographical administrative area officially designated by the government of Nigeria.

Membership Requirements

To qualify as a Stockist, you must meet the following requirements:

1. Age Requirement
You must be at least 18 years old.


2. Registration
You must complete the registration process and provide accurate, current, and complete information.


3. Registration Fee
You must pay the applicable Stockist registration fee, which ranges between ?1,500,000 and ?6,000,000, depending on the approved category or package.


4. Territorial Limitation
Only one (1) Stockist shall be appointed per designated Local Government area,except the mini stockist.

 

Approval as a Stockist is subject to the Company’s review and discretion.

Membership Benefits

As a registered Stockist, you may be entitled to:

1. Earning Potential
The opportunity to earn up to 8% of monthly sales within your designated territory.


2. Performance-Based Earnings
Unlimited earning potential based on overall sales performance and volume.


3. Business Growth Support
Access to exclusive benefits, support, and resources designed to promote business growth and operational success.

 

Benefits are subject to compliance with this Agreement and the Program’s policies.

Earning Structure

1. Sales Commission
Stockists may earn commissions ranging from 3% to 8% on each product dispatched within their territory, subject to performance and category level.


2. Monthly Sales Bonus
Additional bonuses may be calculated based on total verified monthly sales volume within the assigned Local Government area.

 

All earnings are subject to verification, applicable deductions, and compliance with Program policies.

Obligations of the Stockist

As a Stockist, you agree to:

1. Legal Compliance
Comply with all applicable laws, regulations, and industry standards.


2. Adherence to Program Policies
Follow all Program rules, guidelines, pricing structures, and operational standards as communicated by the Company.


3. Confidentiality
Maintain strict confidentiality of proprietary, business, financial, and operational information belonging to the Company.


4. Inventory Management
Maintain adequate inventory levels to ensure timely and efficient product distribution within your territory.


5. Customer Support
Provide professional, responsive, and high-quality customer service at all times.

 

Failure to meet these obligations may result in disciplinary action or termination.

Territorial Rights

Upon approval, you will be granted exclusive territorial rights to operate as the sole authorized Stockist within your designated Local Government area, subject to continued compliance with this Agreement and performance standards established by the Company.

The Company reserves the right to review territorial exclusivity if performance expectations are not met.

Termination

The Company reserves the right to suspend or terminate this Agreement at its discretion, including but not limited to the following circumstances:

1. Violation of Program rules or policies

3. Failure to maintain adequate inventory levels


4. Misrepresentation, misconduct, or unethical business practices


5. Any other reasonable grounds deemed necessary to protect the Company’s interests

 

Termination may result in loss of territorial rights and associated benefits.

SERVICE CENTER AGREEMENT

                                                         Introduction

This Service Center Agreement (“Agreement”) sets forth the terms and conditions governing your participation as an authorized Service Center in Midas Global Resources Limited’s direct sales program (“Program”).

By registering as a Service Center, you agree to be bound by the terms of this Agreement.

Definitions

For the purposes of this Agreement:

“Company,” “We,” “Us,” or “Our” refers to Midas Global Resources Limited.

“Service Center” refers to an individual or legally registered business approved under the Service Center membership category.

“Program” refers to Midas Global Resources Limited’s direct sales program.

“Products” refers to all digital and physical products and services offered through the Program.

“Website” refers to www.midasglobalresources.com.

“State” refers to a geographical administrative area officially designated by the government of Nigeria.

Membership Requirements

To qualify as a Service Center, you must satisfy the following conditions:

1. Age Requirement
You must be at least 18 years of age.


2. Registration
You must complete the registration process and provide accurate, current, and complete information.


3. Package Fee
You must pay the applicable Service Center package fee, ranging from ?12,000,000 to ?30,000,000.
Products equivalent in value to the selected package amount will be allocated accordingly.


4. Territorial Limitation
Only one (1) Service Center shall be appointed per State.

 

Approval is subject to the Company’s review, verification, and discretion.

Membership Benefits

As an authorized Service Center, you may be entitled to the following benefits:

1. Earning Potential
Earn between 2% and 5% of the total monthly sales generated by all Stockists within your designated State.


2. Exclusive Territorial Rights
Recognition as the sole authorized Service Center representative within your State, subject to performance and compliance.


3. Direct Access to Products
The ability to purchase products directly from the Company at approved rates.


4. Supply Authority
Authorization to supply products to all Stockists operating within your State.

 

All benefits are subject to compliance with this Agreement and Program policies.

Maintain strict confidentiality of proprietary, operational, financial, and strategic information belonging to the Company.


4. Inventory Management
Maintain adequate inventory levels to ensure timely product distribution to Stockists within your State.


5. Stockist Support
Provide professional training, guidance, and operational support to all Stockists under your jurisdiction.

Territorial Rights

Upon approval, you will be granted exclusive territorial rights to operate as the sole Service Center within your designated State, subject to continued compliance and satisfactory performance.

The Company reserves the right to review or revoke territorial exclusivity if performance standards are not met.

Stockist Management Responsibilities

As a Service Center, you shall:

1. Oversight
Oversee the activities of all Stockists within your State to ensure compliance with Program standards.


2. Training and Support
Provide ongoing training, mentorship, and operational support to Stockists.


3. Sales Monitoring
Track and report Stockist sales performance in accordance with Company requirements.

Termination

The Company reserves the right to suspend or terminate this Agreement at its discretion, including but not limited to:

1. Non-compliance with Program rules or policies


2. Breach of confidentiality


3. Failure to maintain adequate inventory or supply Stockists in a timely manner


4. Misrepresentation, misconduct, or unethical business practices


5. Any other reasonable grounds necessary to protect the Company’s interests

 

Termination may result in loss of territorial rights and associated benefits.
